How I applied Buffet's strategies to my own portfolio, +70% networth, beat SP500 by 40%

I believe I did pretty well in the market this year. My networth increased ~65% since its lowest point in March, ~350k to 620k. 20k from the car I bought in March. I rolled over a 401k and it messed up Mint's reporting, hence the spike from Jul -> Aug.
I beat the SP500 by 40% in my YOLO account, my FAANG account went from 180->300
I did this by following some basic investing principles, buying and holding for the most part, being patient, and only investing in areas which I have expertise in.
I did not buy into the TSLA hype, nor do I play options, nor do I play crypto.

I picked the 7 I agree with.
  1. Invest in what you know…and nothing more.

I firmly believe that anyone who follows those concepts, they will find success in investing.

General mindset:

Application:

I was very specific in the types of companies I would choose to invest in within tech. I decided to follow my strengths. As a data engineer, I'm very intimate with cloud technologies, and I think I generally have pretty sharp business acumen and good strategic direction.
As a result, my day to day work had me using a ton of technologies in the cloud space. I've used Splunk, NewRelic, Twilio, AWS, GCP, Hortonworks/Cloudera, Oracle, Tableau, Datadog, Sendgrid (bought by Twilio), Dropbox/box, Slack, Salesforce, Marketo, Databricks, Snowflake, HP Vertica, just to name a few. I was familiar with CDN services like Fastly and Cloudflare because sometimes, I worked with the DevOps and IT guys.
Based on industry hearsay, day to day work, eventually, I got a good "feel" of what technologies were widely adopted, easy to use, and had a good reputation in the industry. Similarly, I also got a feel for what tech were being considered 'dated' or not widely used (HP, Oracle, Cloudera, Dropbox, Box).
I tend to shy away from companies that I don't understand. In the past, most times I've done that-- I got burned. My biggest losers this year was betting on $NAT and $JMNA (10k total loss). After learning from those mistakes, I decided to only focus on investing in companies that either I or my peers have intimate first hand experience with using. Because of this rationale, the majority of stocks in my portfolio are products which I believe in, I thoroughly enjoy using, and I would recommend to my friends, family, and colleagues.
Post COVID, due to the shift to remote work and increase in online shopping I decided to double down on tech. I already knew that eCommerce was the next big thing. I made very early investments into SHOP and Amazon in 2017 for that reason.
My hypothesis was that post-COVID, the shift on increased online activity, remote work, and eCommerce would mean that companies which build tools to support increased online activity should also increase. I decided to choose three sectors within tech to narrow down-- these were three sectors that I had a good understanding of, due to the nature of my work and personal habits.
  1. eCommerce + AdTech
  2. IT/DevOps (increased online activity means higher need for infra)
  3. FinTech (increased shopping activity means more transactions)
These are the points I consider before I consider jumping into a stock:
  1. Do I feel good about using the company? Do I believe in the company's vision?
  2. Where do I see this company in 5 years? 10 years? Do I see my potential children being around to use these companies?
  3. What does YoY, QoQ growth look like for this company?
  4. Is/Will this product be a core part of how businesses or people operate?
  5. Who are their customers and target demographic?
  6. (SaaS) Customer testimonials, white papers, case studies. If it's for a technology, I'm going to want to read a paper or use case.
In March, I took what I believe to be an "educated gamble". When the market crashed, I liquefied most of my non tech assets and reinvested them into tech. Some of the holdings I already had, some holdings were newly purchased.
EDIT ^ this isn't called timing the market you /wsb imbeciles. Timing the market would be trying to figure out when to PULL OUT during ATH and then buying the dip. I SOLD at the lowest point, and I with the cash I sold AT A LOSS, I reinvested that cash and doubled down into tech. If I sold in Feb, and bought back in March, that would be calling timing the market. What I am doing is called REINVESTING/REBALANCING... not timing the market.
I have 50% of my networth in AMZN, MSFT, AAPL, GOOG, FB, NFLX, and the rest in individual securities/mutual funds. I have 3 shares of TSLA that I got in @1.5.
Here are the non FAANGs I chose.
  1. $SQ. I had already been invested in SQ since 2016. I made several bad trades, holding when it first blew past 90 until I sold it at 70... bought in again last year at 60s, after noticing that more and more B&M stores were getting rid of their clunky POS systems and replacing it with Square's physical readers. After COVID, I noticed a lot of pop up vendors, restaurants doing take out. A Square reader made transactions very easy to make post-COVID.
  2. $ATVI. Call of Duty and Candy Crush print money for them. I've been a Blizzard fanboy since I was a kid, so I have to keep this just out of principle.
  3. $SHOP. They turned a profit this year, and I think there is still a lot more room to grow. It's become somewhat of a household name. I've met quite a few people who mentioned that they have a Shopify site set up to do their side hustle. I've tried the product myself, and can definitely attest that it's pretty easy to get an online shop up and running within a day. I 5.5xed my return here.
  4. $BIGC. I bought into this shortly after IPO. I'm very excited to see an American Shopify. BigC focuses on enterprise customers right now, and Shopify independent merchants, so I don't see them directly competing. I'm self aware this is essentially a gamble. I got in at 90, sold at 140, and added more in 120s. I def got lucky here... it's not common for IPOs to pop so suddenly. I honestly wasn't expecting it to pop so soon.
  5. $OKTA. Best in class SSO tool. Amazing tool that keeps tracks of all of my sign-ons at work.
  6. $DDOG. Great monitoring tool. Widely adopted and good recommendations throughout the industry. Always had a nice looking booth at GoogleNext.
  7. $ZM. Zoom was the only video conf tool at work which I had a good time using. Adoption had blown up pre-COVID already in the tech world, and post-COVID, they somehow became a noun. "Zoom parties" and "Zoom dates" somehow became a thing interwoven into peoples' day to day lives.
  8. $TWLO. Twilio sells APIs which allow applications to send messages like text, voice, and video chat. For example, when DoorDash sends you a text at 1 AM reminding you that your bad decision has arrived, that text is powered by Twilio. In March, New York announced that they were going to use Twilio to send SMS notifs for COVID contact tracing.
  9. $NET/$FSTY. These two two seem like the ones best poised for growth in the CDN space. This is based off of industry exposure and chatting with people who work in DevOps.
  10. $DOCU. people aren't going to office to sign stuff, super easy to use, I like their product.
  11. $WMT. eComm, streaming, and a very substantial engineering investment makes me think they have room to grow. Also I really need to diversify.
  12. $COST. When is the last time you heard someone say "Man I hate going to Costco and paying $1.50 for a hotdog and soda?" Diversification. Also cheap hotdogs.
  13. $NVDA/AMD. GPUs are the present and the future. Not only are they used for video games, but Machine Learning now uses GPU instead of CPU to do compute (Tensorflow for example). Crypto is still a thing as well, and there will always been a constant need for GPUs.
Mutual funds/ETFs 1. $FSCSX. MF which focuses on FinTech.
  1. $VTSAX Pretty much moves with the SP500.
  2. $WCLD. Holdings include Salesforce, Workday, Zuora, Atlassian, Okta, New Relic, Fastly...
Titanvest: I was an early access user, and I was able to secure 0% fees for my accout. 36% gains so far. I like them, because their portfolio happens to include shares of tech giants that I either don't have individual stocks for or my stake is low (CRM, PPYL). It nicely complements my existing portfolio.

Some things I do that that are against the grain:

One example was how I applied the above principle was to WalMart. In 2018 I noticed that I was getting targeted by a lot of Data engineering job listing for WalMartLabs-- WarMart's tech division. The role was to build out a big data pipeline to support their eCommerce platform. WalMart's online store released in Q3 of 2019. Post COVID, I used their online store and it was a seamless experience. They even offer a 5% cash back card like Amazon. They reported strong Q4 sales last year, and they did very well post COVID. Why did I choose to invest in $WMT? Because I believe that Wal-Mart has room to grow for their online platform.
Lastly... remember that wealth isn't accrued over time. It takes years to build. The quickest way to increase your wealth is by investing in yourself-- your career and earning potential. The sooner my income increased, the quicker I had more capital to buy into stocks.
Also, if you've gotten this far, the point of my post isn't to say that you should invest into tech. The message I'm trying to get across is-- when picking companies, pick companies in fields or verticals you have good knowledge in. Heed Buffet's advice to only pick companies you believe in and understand. Play to your strengths, don't mindless toss money based on one person's posts on Reddit-- always do your own due diligence. Use DD as a guide and use personal research and experience to drive your decision.

Investment Thesis: Why investing in POW.TO (Power Corporation of Canada) now is an investment in a future high market cap Wealthsimple IPO

I have seen some posts here wondering about the wisdom of investing in Wealthsimple's parent company, Power Corporation of Canada (POW.TO). I decided to look more into this, decided to post my investment thesis and research on why I, long-term, I have a very bullish view on Wealthsimple (and by extension POW.TO), and why I think this is equal to being an early stage investor in a Wealthsimple IPO.

WS has had many successful rounds of funding and a vote of confidence from both its parent POW.TO and other multinationals investing in fintech.

Growth

WS has been extremely aggressive in targeting growth areas. Wealthsimple’s CEO Mike Katchen has said he wants to position the company as a “full-stack” financial services company. Here are some of their current expansion areas:

People

WS is run by young guys who have big ambitions and plans for the company. Sometimes there are CEOs with the intangibles that can really drive a company's growth, and from what I can glean, I think the company has a lot of potential here in terms of vision by its leaders. On being laughed out of the boardroom when he proposed his idea for Wealthsimple:
Within the last month, Wealthsimple has also opened an office in London. Katchen said a push into the European market is “possible” as its “ambitions are global,” but right now the Canadian and U.S. markets are “a lot to chew.” It is a far cry from the company’s early days: Katchen said he was “laughed out of the boardroom” for laying out a global vision for Wealthsimple at a time when they had just $1.9-million in funding and 20 users***.***“It’s a very personal mission of mine since I moved back from California, to inspire more Canadian companies to think big and to think internationally about the businesses that they’re building,” he said. On Wealthsimple's growth in the next 10-15 years:
Wealthsimple has more than $5 billion in assets under management and 175,000 customers in Canada, the U.S. and U.K. He sees that reaching $1 trillion 15 years. “We’re just getting started,” he said. “Our plans are to get to millions of clients in the next five years.” (reference)

Brand Value and Design

Out of all the financial services company in Canada, WS probably has the most cohesive and smart design concept across its platforms and products. I see the value in Wealthsimple in not just the assets they have under management, but also the value of the brand itself. I mean, what kind of financial services company makes a blog post about their branding colour scheme and font choices? Also see: Wealthsimple’s advertisement earlier this year capturing 4 million views on Youtube.
There also seems to be very strong brand awareness and brand loyalty amongst its users. I think a lot of users find WS refreshing as a financial services company because they cut through the "bullshit" and legalese, and try to simply things for the consumer. They also have their own in house team of designers and creative directors to do branding, design, and advertising, and this kind of vertical integration is generally unheard of in the financial services industry (reference).

Potential IPO?

Interestingly, the CEO’s ultimate goal is to take the company public. Therefore, I see an investment in POW.TO as being an early stage pre-IPO investor in WS (reference).
The goal is to get Wealthsimple to the size and scale to go public, something that Katchen said he’s “obsessed with.” While admitting that an IPO was still a few years down the road, Katchen already has a target of $20 billion in assets under administration (AUA) as the tipping point (the company recently announced $4.3 billion in AUA as of Q1 2019) (reference)

Future Potential

Ultimately, my sense is that a spun-out Wealthsimple IPO eventually be worth a lot, perhaps even more than POW.TO at some point. Obviously the company is losing money right now, and no where even close to an IPO, and there are still many chances that this company could flop. The best analogy that I can think of is when Yahoo bought an early stake in Alibaba (BABA) back in the early 2000s, and there came a point where their stake in BABA was worth more than Yahoo’s core business. I think an investment in POW.TO now is an early investment in WS before it goes public. (reference)

Risks

The X Factor

What I find particularly compelling about WS is they have aggressively positioned themselves to be a disruptor in the Canadian financial services industry. This is an area that has traditionally been thought to be a firewall for the Big Five Banks. There is also a generational gap in investing approaches, knowledge, and strategy, and I think WS has positioned itself nicely with first-time investors. My sense is that COVID-19 has also captured a huge amount of young adults with its trading app in the last few months, who will continue to use Wealthsimple products in the future. The average age of its user is around 34. As younger individuals are more comfortable with moving away traditional banking products, I think Wealthsimple’s product offering offers significant advantages over its competitors.

Power Corp is a Good Home

Currently POW.TO is trading at $26.30, down from its 52-week high of $35.15. I see an investment in POW.TO now as fairly low risk, and while WS grows, and there is also the added benefit of a high dividend stock. One of the most confusing things I found about Power Corp was its confusing corporate structure where there were two stocks, Power Financial Corp, and Power Corp of Canada. Fortunately, in Dec 2019, they simplified and consolidated the stocks, which also simplifies the holding structure of WS. I currently see POW.TO has a good stock to hold as well if you're a dividend holder, with a dividend of 6.86%.
Also, POW.TO is patient enough to bide its time and let its investment in WS grow, unlike a VC that might want to sell it quick. For example, the reason why WS went with POW.TO instead of the traditional VC route is explained here:
Katchen has directly addressed the question of why he did not go the traditional VC route recently, saying: If you are a business that requires perhaps decades to achieve the vision you have, well, if you’re not going to be able to generate the kind of returns that venture needs is they will force you to sell yourself, they will force you to go public before you’re ready, or they will just forget about you because you’re going to be a write off. And so Katchen essentially flipped Wealthsimple to Power Financial. Power is well known as a conservative, patient, long-term investor. My belief is there is a huge unrecognized potential in POW.TO's massive ownership stake in WS that will be realized maybe 5-10 years down the road. I didn't really dive into the financials of POW.TO in relation to WS's performance, because the earnings reports do no actually say much about WS. I'm aware of the main criticisms that POW.TO is a mature company and dividend stock that has been trading sideways for many years, and the fact that WS is currently not a profitable company. I am not a professional investor, and this is just my amateur research, so I certainly welcome any comments/criticism of this thesis that people on this subreddit might have! (Please be gentle on me!).

Edit: Thanks to all for the thoughtful comments about POW's size and other holdings relative to WS, and that WS is basically a tiny, tiny portion of POW.TO. Again, I am just an amateur investor, appreciate we can discuss these points on this forum! And fair point is taken that WS's margins are also razor thin right now. I guess I am buying more into the CEO's vision of growth (see this video about his confidence about getting to $1 trillion AUM (!) in the next 8 years), rather than the current financial status or size of the company. Call me delusional if you will :P.

Geeq - A serious contender for the most game changing project of 2020.

I'd like to officially welcome all the new people to the Geeq community, this is going to be long but I'd just like to say a few words and get it out of the way. I've talked with (username removed) about the discussions of other projects in this channel, we agreed to let it happen until the official launch of the Geeq token as this is a community trading channel, and it isn’t trading as of yet. In a way it’s important to acknowledge the good and bad about the macro outlook of crypto so people can learn from the mistakes together, and we don’t want to discourage thoughtful and informative dialogue.

The Why’s?
Why did I invest in Geeq? Why did my initial evaluation increase week on week on the marketcap of Geeq?, before I really looked into Geeq I had a sell price point at $1, this was 9 months ago. Why am I now seeing the bigger picture of the potential behemoth Geeq is? Why is the team willing to work for free for all these years? Why is the marketing team doing this for free? They have a very lucrative business before they joined the wing’s of the Geeq protocol (and they still do). Why is it for free? Why is the team decked with the most experience individuals in their fields?
Why is Ric Asselstine, the gentlemen that helped build Canada’s biggest software company doing $5 billion revenue a year dedicating so many years on Geeq’s protocol?
Why is John P. Conley with all his insane credentials in game theory, mechanism design, mathematical economics, and public theory join the team and do it for free for all these years?
Why is Stephanie So, CDO & Founder of Geeq dedicate all these years working for free for Geeq? She was the first to use machine learning on social science data at the National Center for Supercomputing Applications, and recently Dell named her top 4 Influential Women in tech, why is she doing this?
Why is Lun-Shin Yuen working on Geeq for free? He was the THIRD engineer working there, they are now worth $77.23 Billion in market share and doing over $6.7 Billion of revenue a year. Why is he here?
Why is Eric Ball the former treasurer of Oracle between 2005-2015 involved in Geeq? I looked up how well he managed the $60 billion Larry Ellison had, while he was in charge, Larry peaked to the 4th richest person in the world, Mr Ball was managing his money during then, so what does that say?
Why is Ian Smith, a savant and expert in network and OS security and system theory working here for free? He is fluent in 20 coding languages, He helped teach Linux at Nasa, why is this gentlemen here?
Why did Dr Yeap reach out to the Geeq team to join as an Advisor? He has dozens of patents under him that run for decade’s long.
Why Did Kurt Hoppe, the current Director at Google of Product Management in the Android Automotive sector of Google join as an advisor recently? He is a Board member in the Internet of things consortium, Former Global Head of Innovation at General Motors and former Director at LG Electronics Smart Home & Smart TV, why is he wanting to get involved with Geeq?
These are few of my personal opinions. Because they are thinking 100 years ahead, not 1 year ahead. Currently crypto is full of people that are looking to make a quick buck, this isn’t one of them, sure you may make some money but why sell yourself short when you look at the product they have designed, created, protected and about to implement to the world of technology.
It’s the best security in software, BFT tolerance is 99%, Sybil, Wealth and Nation-State proof, money cannot determine the control of the protocol, hash power cannot determine the control of the protocol. This is huge, this isn’t the buzz word, no one gets excited over security, but to me it’s the biggest deal in the technology world, from this point on, anyone who builds on this is inherently protected from future law suits (e.g. hacks losing peoples funds) due to potential corruption in chains, what the ledger says, says as John puts it. It cannot be changed for any sort of benefit to an individual or nation-state, This means it’s appealing to IoT applications such as Smart cars (corrupt the data and you could drive a car off the cliff), Telemetry, streaming payments, peer to peer content, literally anything you can think of, this would be the best platform to do it with.
Micropayments- 1/100th of a cent, streaming and paying per second can now be done due to this.
Anonymous- No point showing everyone’s detail’s such as buying personal goods at a store, no one needs to know this type of data, it’s logical in the way it displays important information and weeds out unnecessary public data.
Trustless- Edge Security, you can see as an individual who is playing by the rules or not.
AMP- Algorithmic Monetary Policy embedded and coded to reduce the risk of sharp drops/sharp pumps, healthy flow.
As stated in the White Paper as an example:
“A 25 node network running at 20 TPS allows 630M transactions per year and creates 630GB of chain data. Transactions cost users $.0001 each and this generates a total of $62k revenue per year. Approximately $1.7k in $GEEQ is paid to each node per year for their validation services. Geeq receives $21k in annual revenue from one such geeqchain instance.” (Ref: Section 7.1). This is ONE example, ONE chain, it does not represent ONE company, it could be ONE function of ONE Company, my point is, this is scalable to the billions of IoT devices, this has no limit of data input, If you are using Geeq in a smart city, it will be doing Billions of transactions a day. Just one example.
In 2017 there was 7 Billion IoT devices, 2019 the devices reached 26.66 Billion, During 2020 it’s expected to be 31 Billion IoT Devices, this is a growing market as you can tell, this is the future, Geeq will capitalize on this.
The list goes on and on and on and on and on and on and on. So since this is a trading channel, this is my opinion as to why this may exceed a lot of peoples price points in the long-term. We have no chart to determine the value of this coin, but what you can value it is on the target market, potential marketshare, the teams credentials, the protocol’s potential, the protection of the protocol (patent).
A lot of people coming in here throwing numbers out without any actual real evidence to back it up, everyone has there own personal opinion on prices, which is fine but please make the most educated guess you can with the information you have as of now, now rethink to yourself what Geeq is doing, and why I’m so bullish.
This is the beginning, since Geeq is built on decentralization, it’s important we act as a community and treat each other with respect, this is a long journey and it’s just starting, this channel should be used to lean on each other and build a very healthy community because this is a very long road, the Geeq team lead by example by showing how much patience they have, they answer the same questions every 30 minutes, I have not seen a TG group that has done this with such respect to random people ( This was a big reason why I went all in). This has the right mixture to be really something big, and I really hope everyone here does their research on Geeq, I’m not technical but I can see what the vision is, what is my price point? How can you value the most powerful team, protocol and vision in crypto? You can’t put a price on a protocol that will be setting the standard.

How to deal with an Ethereum investor who thinks he's my wife?

Hey so welcome. I'm having some trouble getting one of the biggest Ethereum investors to pay me for my work.
Basically, one of ethereum's biggest investors has been profitting millions off my work without paying me. His name is Fred Ehrsam over at paradigm capital. I think it's EXTREMELEY relevant to Ethereum because he's investing my money all across the space, and i worry every night that other innocent people will be ripped off by him.
I met Fred shortly after he left Coinbase. I had taken a year off from medical school to seek funding for a very proftiable crypto trading algorithm. I knew that if i could get funding for the trading algorithm, then i could use the profits to develop a blockchain-based clinical treatment platform, and in turn treat more patients than i would otherwise as a doctor. Although i was making a very high percentage per day doing this trading strategy, i didn't have enough base capital to completely cover withdrawal fees from more than two exchanges. After examining graphs and other materials i prepared for him, Fred encouraged me to fully drop out of medical school to start a hedge fund with him. Together we came up with the name Paradigm Capital along with about 48 other hedge fund names. So, after that, I worked extremely hard to expand the algorithm from two to five exchanges...
At one point I was literally living out of my car in a Walmart parking lot to keep as much money in my trading algorithm as possible, because Fred kept saying he was going to send money to help see if it would scale to 5 exchanges. This guy had a net worth of $21 million at the time i believe. But he never wound up sending the money but kept promising he would. So after a lot more work I expanded the algo to 5 exchanges doing my part.
After a few months of expanding the algorithm i stayed at Fred's for a second time a few months later, where he asked me to shower in his room and I then introduced him to a girl i was into, but then he changed gears and told me that i didn't have enough social awareness to start a hedge fund with him. I pretty much knew right then that Fred had stolen or was going to steal my algorithm. But I didn't have enough proof until this Forbes article came out this year. So, my algo is making 100% per month profits for Paradigm Capital, and Fred has stolen a lot of money from me, like millions.
Why is Fred so comfortable profitting off my work, and feeding himself off it? Why am I doing all the hard work out in the fields, and he's sitting back and eating fruit and primping himself? Fred must have one of those delusions that he's my wife in the olden times. But I never wanted to have that kind of relationship with him.
If I were an investor who wasn't involved in this, I would take into account that nothing Ehrsam has done aside from my arbitrage algorithm has worked. Augur, Veil, tBTC, MakerDAO... they've all been more problems than solutions. Why would you invest in an ecosystem who's philosophies give dozens of tries to a dishonest guy, while the honest, competent people are boxed out? Uhh... Fred literally killed the patients I could've treated as a doctor, and also those I could've treated on my blockchain platform. That's not good. Fred likes prediction platforms because they can be used to kill people through bounties. U think that's the best way to use a blockchain? Fred you will never kill me with a prediction market. You go try and do that with the money you stole from me. He's making decisions with money that's rightfully mine, spending it on projects that, in my opinion, won't be profitable nor do much to reduce suffering in the world. My opinion as a VC would be that if you're going to blow millions of dollars on high-risk projects, at least choose the ones that will have a positive societal impact. Not tBTC copycat projects and augur bounties etc
Regardless of sexuality, having a dishonest guy like Fred in your "tribe"* only makes the rest of you look bad. Is it true that in SF you always have to have poke the noobs before doing business with them? Because that doesn't sound fair nor profitable. Divinity doesn't exclusively speak through people who love pretzel sticks.
Now PTT wants to Pied Piper the 14-year-olds over at /forniteBR into supporting Ethereum through "community points", hoping a changing of the guard on the East Coast will give him an opportunity to rise up? PTT, He will never let that happen. Not because you're gay, but because your tribe destroys people's lives, like Gawker once did. I will die making sure you don't get Ethereum off the ground.
What is it about Fred that makes him so proud to keep profitting off my work without paying me? He's not my wife. Maybe he's not much a man, but that doesn't make him a woman living with me on a farm with me in 500 B.C. Do u know how easy it is to lie and backstab people to get ahead when you're smart? Actual smart people don't shoot lay-ups, they don't take the easy way. They go for the D U N K S. Does Joe Lubin's backstabbing mantra account for that?
I just want to be paid for my work.
Edit: "Tribe" is a bit of an intellectual meme these days that appears fairly often in crypto circles. It's based on something called "Dunbar's number" which states that social circles max out at 150 people, and everything you do is for those 150 people (your "tribe"). It's not a reference to anything to do with sexuality, rather here it's meant to poke at one of crypto's main problems today. The "tribe" philosophy directly contradicts performing altruisitic acts for the good of humanity, or even for a group as large as a nation. Rather, you do selfish acts for people in your immediate social circle.

ETHE & GBTC (Grayscale) Frequently Asked Questions

It is no doubt Grayscale’s booming popularity as a mainstream investment has caused a lot of community hullabaloo lately. As such, I felt it was worth making a FAQ regarding the topic. I’m looking to update this as needed and of course am open to suggestions / adding any questions.
The goal is simply to have a thread we can link to anyone with questions on Grayscale and its products. Instead of explaining the same thing 3 times a day, shoot those posters over to this thread. My hope is that these questions are answered in a fairly simple and easy to understand manner. I think as the sub grows it will be a nice reference point for newcomers.
Disclaimer: I do NOT work for Grayscale and as such am basing all these answers on information that can be found on their website / reports. (Grayscale’s official FAQ can be found here). I also do NOT have a finance degree, I do NOT have a Series 6 / 7 / 140-whatever, and I do NOT work with investment products for my day job. I have an accounting background and work within the finance world so I have the general ‘business’ knowledge to put it all together, but this is all info determined in my best faith effort as a layman. The point being is this --- it is possible I may explain something wrong or missed the technical terms, and if that occurs I am more than happy to update anything that can be proven incorrect
Everything below will be in reference to ETHE but will apply to GBTC as well. If those two segregate in any way, I will note that accordingly.
What is Grayscale? 
Grayscale is the company that created the ETHE product. Their website is https://grayscale.co/
What is ETHE? 
ETHE is essentially a stock that intends to loosely track the price of ETH. It does so by having each ETHE be backed by a specific amount of ETH that is held on chain. Initially, the newly minted ETHE can only be purchased by institutions and accredited investors directly from Grayscale. Once a year has passed (6 months for GBTC) it can then be listed on the OTCQX Best Market exchange for secondary trading. Once listed on OTCQX, anyone investor can purchase at this point. Additional information on ETHE can be found here.
So ETHE is an ETF? 
No. For technical reasons beyond my personal understandings it is not labeled an ETF. I know it all flows back to the “Securities Act Rule 144”, but due to my limited knowledge on SEC regulations I don’t want to misspeak past that. If anyone is more knowledgeable on the subject I am happy to input their answer here.
How long has ETHE existed? 
ETHE was formed 12/14/2017. GBTC was formed 9/25/2013.
How is ETHE created? 
The trust will issue shares to “Authorized Participants” in groups of 100 shares (called baskets). Authorized Participants are the only persons that may place orders to create these baskets and they do it on behalf of the investor.

Note – The way their reports word this makes it sound like there is an army of authorizers doing the dirty work, but in reality there is only one Authorized Participant. At this moment the “Genesis” company is the sole Authorized Participant. Genesis is owned by the “Digital Currency Group, Inc.” which is the parent company of Grayscale as well. (And to really go down the rabbit hole it looks like DCG is the parent company of CoinDesk and is “backing 150+ companies across 30 countries, including Coinbase, Ripple, and Chainalysis.”)

How does Grayscale acquire the ETH to collateralize the ETHE product? 
An Investor may acquire ETHE by paying in cash or exchanging ETH already owned.

Where does Grayscale store their ETH? Does it have a specific wallet address we can follow? 
ETH is stored with Coinbase Custody Trust Company, LLC. I am unaware of any specific address or set of addresses that can be used to verify the ETH is actually there.
As an aside - I would actually love to see if anyone knows more about this as it’s something that’s sort of peaked my interest after being asked about it… I find it doubtful we can find that however.

Can ETHE be redeemed for ETH? 
No, currently there is no way to give your shares of ETHE back to Grayscale to receive ETH back. The only method of getting back into ETH would be to sell your ETHE to someone else and then use those proceeds to buy ETH yourself.

Why are they not redeeming shares? 
I think the report summarizes it best:
Redemptions of Shares are currently not permitted and the Trust is unable to redeem Shares. Subject to receipt of regulatory approval from the SEC and approval by the Sponsor in its sole discretion, the Trust may in the future operate a redemption program. Because the Trust does not believe that the SEC would, at this time, entertain an application for the waiver of rules needed in order to operate an ongoing redemption program, the Trust currently has no intention of seeking regulatory approval from the SEC to operate an ongoing redemption program.

What is the fee structure? 
ETHE has an annual fee of 2.5%. GBTC has an annual fee of 2.0%. Fees are paid by selling the underlying ETH / BTC collateralizing the asset.

What is the ratio of ETH to ETHE? 
At the time of posting (6/19/2020) each ETHE share is backed by .09391605 ETH. Each share of GBTC is backed by .00096038 BTC.

For a full historical look at this ratio, it can be found on the Grayscale home page on the upper right side if you go to Tax Documents > 2019 Tax Documents > Grayscale Ethereum Trust 2019 Tax Letter.
Why is the ratio not 1:1? Why is it always decreasing? 
While I cannot say for certain why the initial distribution was not a 1:1 backing, it is more than likely to keep the price down and allow more investors a chance to purchase ETHE / GBTC.
As noted above, fees are paid by selling off the ETH collateralizing ETHE. So this number will always be trending downward as time goes on.

I keep hearing about how this is locked supply… explain? 
As noted above, there is currently no redemption program for converting your ETHE back into ETH. This means that once an ETHE is issued, it will remain in circulation until a redemption program is formed --- something that doesn’t seem to be too urgent for the SEC or Grayscale at the moment. Tiny amounts will naturally be removed due to fees, but the bulk of the asset is in there for good.
Knowing that ETHE cannot be taken back and destroyed at this time, the ETH collateralizing it will not be removed from the wallet for the foreseeable future. While it is not fully locked in the sense of say a totally lost key, it is not coming out any time soon.
Per their annual statement:
The Trust’s ETH will be transferred out of the ETH Account only in the following circumstances: (i) transferred to pay the Sponsor’s Fee or any Additional Trust Expenses, (ii) distributed in connection with the redemption of Baskets (subject to the Trust’s obtaining regulatory approval from the SEC to operate an ongoing redemption program and the consent of the Sponsor), (iii) sold on an as-needed basis to pay Additional Trust Expenses or (iv) sold on behalf of the Trust in the event the Trust terminates and liquidates its assets or as otherwise required by law or regulation.

Grayscale now owns a huge chunk of both ETH and BTC’s supply… should we be worried about manipulation, a sell off to crash the market crash, a staking cartel? 
First, it’s important to remember Grayscale is a lot more akin to an exchange then say an investment firm. Grayscale is working on behalf of its investors to create this product for investor control. Grayscale doesn’t ‘control’ the ETH it holds any more then Coinbase ‘controls’ the ETH in its hot wallet. (Note: There are likely some varying levels of control, but specific to this topic Grayscale cannot simply sell [legally, at least] the ETH by their own decision in the same manner Coinbase wouldn't be able to either.)
That said, there shouldn’t be any worry in the short to medium time-frame. As noted above, Grayscale can’t really remove ETH other than for fees or termination of the product. At 2.5% a year, fees are noise in terms of volume. Grayscale seems to be the fastest growing product in the crypto space at the moment and termination of the product seems unlikely.
IF redemptions were to happen tomorrow, it’s extremely unlikely we would see a mass exodus out of the product to redeem for ETH. And even if there was incentive to get back to ETH, the premium makes it so that it would be much more cost effective to just sell your ETHE on the secondary market and buy ETH yourself. Remember, any redemption is up to the investors and NOT something Grayscale has direct control over.
Yes, but what about [insert criminal act here]… 
Alright, yes. Technically nothing is stopping Grayscale from selling all the ETH / BTC and running off to the Bahamas (Hawaii?). BUT there is no real reason for them to do so. Barry is an extremely public figure and it won’t be easy for him to get away with that. Grayscale’s Bitcoin Trust creates SEC reports weekly / bi-weekly and I’m sure given the sentiment towards crypto is being watched carefully. Plus, Grayscale is making tons of consistent revenue and thus has little to no incentive to give that up for a quick buck.
That’s a lot of ‘happy little feels’ Bob, is there even an independent audit or is this Tether 2.0? 
Actually yes, an independent auditor report can be found in their annual reports. It is clearly aimed more towards the financial side and I doubt the auditors are crypto savants, but it is at least one extra set of eyes. Auditors are Friedman LLP – Auditor since 2015.

The company’s auditors Friedman LLP were also coincidentally TetheBitfinex’s auditors until They controversially parted ways in 2018 when the Tether controversy was at its height. I am not suggesting for one moment that there is anything shady about DCG - I just find it interesting it’s the same auditor.
“Grayscale sounds kind of lame” / “Not your keys not your crypto!” / “Why is anyone buying this, it sounds like a scam?” 
Welp, for starters this honestly is not really a product aimed at the people likely to be reading this post. To each their own, but do remember just because something provides no value to you doesn’t mean it can’t provide value to someone else. That said some of the advertised benefits are as follows:
So for example, I can set up an IRA at a brokerage account that has $0 trading fees. Then I can trade GBTC and ETHE all day without having to worry about tracking my taxes. All with the relative safety something like E-Trade provides over Binance.
As for how it benefits the everyday ETH holder? I think the supply lock is a positive. I also think this product exposes the Ethereum ecosystem to people who otherwise wouldn’t know about it.
Why is there a premium? Why is ETHE’s premium so insanely high compared to GBTC’s premium? 
There are a handful of theories of why a premium exists at all, some even mentioned in the annual report. The short list is as follows:
Why is ETHE’s so much higher the GBTC’s? Again, a few thoughts:

Are there any other differences between ETHE and GBTC? 
I touched on a few of the smaller differences, but one of the more interesting changes is GBTC is now a “SEC reporting company” as of January 2020. Which again goes beyond my scope of knowledge so I won’t comment on it too much… but the net result is GBTC is now putting out weekly / bi-weekly 8-K’s and annual 10-K’s. This means you can track GBTC that much easier at the moment as well as there is an extra layer of validity to the product IMO.
I’m looking for some statistics on ETHE… such as who is buying, how much is bought, etc? 
There is a great Q1 2020 report I recommend you give a read that has a lot of cool graphs and data on the product. It’s a little GBTC centric, but there is some ETHE data as well. It can be found here hidden within the 8-K filings.Q1 2020 is the 4/16/2020 8-K filing.

Is Grayscale only just for BTC and ETH? 
No, there are other products as well. In terms of a secondary market product, ETCG is the Ethereum Classic version of ETHE. Fun Fact – ETCG was actually put out to the secondary market first. It also has a 3% fee tied to it where 1% of it goes to some type of ETC development fund.
In terms of institutional and accredited investors, there are a few ‘fan favorites’ such as Bitcoin Cash, Litcoin, Stellar, XRP, and Zcash. Something called Horizion (Backed by ZEN I guess? Idk to be honest what that is…). And a diversified Mutual Fund type fund that has a little bit of all of those. None of these products are available on the secondary market.
Are there alternatives to Grayscale? 
I know they exist, but I don’t follow them. I’ll leave this as a “to be edited” section and will add as others comment on what they know.

As asked by pegcity - Okay so I was under the impression you can just give them your own ETH and get ETHE, but do you get 11 ETHE per ETH or do you get the market value of ETH in USD worth of ETHE? 
I have always understood that the ETHE issued directly through Grayscale is issued without the premium. As in, if I were to trade 1 ETH for ETHE I would get 11, not say only 2 or 3 because the secondary market premium is so high. And if I were paying cash only I would be paying the price to buy 1 ETH to get my 11 ETHE. Per page 39 of their annual statement, it reads as follows:
The Trust will issue Shares to Authorized Participants from time to time, but only in one or more Baskets (with a Basket being a block of 100 Shares). The Trust will not issue fractions of a Basket. The creation (and, should the Trust commence a redemption program, redemption) of Baskets will be made only in exchange for the delivery to the Trust, or the distribution by the Trust, of the number of whole and fractional ETH represented by each Basket being created (or, should the Trust commence a redemption program, redeemed), which is determined by dividing (x) the number of ETH owned by the Trust at 4:00 p.m., New York time, on the trade date of a creation or redemption order, after deducting the number of ETH representing the U.S. dollar value of accrued but unpaid fees and expenses of the Trust (converted using the ETH Index Price at such time, and carried to the eighth decimal place), by (y) the number of Shares outstanding at such time (with the quotient so obtained calculated to one one-hundred-millionth of one ETH (i.e., carried to the eighth decimal place)), and multiplying such quotient by 100 (the “Basket ETH Amount”). This is the third part of Crypto Banking Wars — a new series that examines what crypto-native company is most likely to become the bank of the future. Who is best positioned to reach mainstream adoption in consumer finance?
While crypto allows the world to get rid of banks, a bank will still very much be necessary for this very powerful technology to reach the masses. As we laid out in our previous series, Crypto-Powered, we believe a crypto-native company will ultimately become the bank of the future. We’re confident Genesis Block will have a seat at that table, but we aren’t the only game in town.
In the first post of this series, we did an analysis of big crypto exchanges like Coinbase & Binance. In our second episode, we looked at the world of non-custodial wallets.
Today we’re analyzing crypto lending & borrowing services. The Earn and Borrow use-case covers a lot of what traditional banks deliver today. This category of companies is a threat worth analyzing. As we look at this market, we’ll mostly be focused on custodial, centralized products like BlockFi, Nexo, and Celsius.
Many of these companies found early traction among crypto users. Are they capable of bundling more financial services and winning the broader consumer finance market? Let’s find out.

Institutional Borrowers

Because speculation and trading remains one of the most popular use-cases of crypto, a new crypto sub-industry around credit has emerged. Much of the borrowing demand has been driven by institutional needs.
For example, a Bitcoin mining company might need to borrow fiat to pay for operational costs (salaries, electricity). Or a crypto company might need to borrow USD to pay for engineering salaries. Or a crypto hedge fund needs to borrow for leverage or to take a specific market position. While all of these companies have sufficient crypto to cover the costs, they might not want to sell it — either for tax or speculative reasons (they may believe these crypto assets will appreciate, as with most in the industry).
Instead of selling their crypto, these companies can use their crypto as collateral for loans. For example, they can provide $1.5M in Bitcoin as collateral, and borrow $1M. Given the collateralization happening, the underwriting process becomes straightforward. Companies all around the world can participate — language and cultural barriers are removed.

The leader (and one of our partners) in this space is Genesis Capital. While they are always the counterparty for both lenders and borrowers, they are effectively a broker. They are at the center of the institutional crypto lending & borrowing markets. Their total active loans as of March 2020 was $649M. That number shot up to $1.42B in active loans as of June 2020. The growth of this entire market segment is impressive and it’s what is driving this opportunity for consumers downstream.

Consumer Products

While most of the borrowing demand comes from institutional players, there is a growing desire from consumers to participate on the lend/supply side of the market. Crypto consumers would love to be able to deposit their assets with a service and watch it grow. Why let crypto assets sit on an exchange or in cold storage when it can be earning interest?
A number of consumer-facing products have emerged in the last few years to make this happen. While they also allow users to borrow (always with collateral), most of the consumer attraction is around growing their crypto, even while they sleep. Earning interest. These products usually partner with institutional players like Genesis Capital to match the deposits with borrowing demand. And it’s exactly part of our strategy as well, beyond leveraging DeFi (decentralized finance protocols).
A few of the most popular consumer services in this category include BlockFi, Nexo, and Celsius.

BlockFi

BlockFi (Crunchbase) is the leader in this category (at least in the West). They are well-capitalized. In August 2019, they raised $18.3M in their Series A. In Feb 2020, they raised $30M in their Series B. In that same time period, they went from $250M in assets under management to $650M. In a recent blog post, they announced that they saw a 100% revenue increase in Q2 and that they were on track to do $50M in revenue this year. Their growth is impressive.
BlockFi did not do an ICO, unlike Celsius, Nexo, Salt, and Cred. BlockFi has a lot of institutional backing so it is perceived as the most reputable in the space. BlockFi started with borrowing — allowing users to leverage their crypto as collateral and taking out a loan against it. They later got into Earning — allowing users to deposit assets and earn interest on it. They recently expanded their service to “exchange” functionality and say they are coming out with a credit card later this year.

Security Woes
It’s incredible that BlockFi has been able to see such strong growth despite their numerous product and security woes. A few months ago, their systems were compromised. A hacker was able to access confidential data, such as names, dates of birth, postal addresses, and activity histories. While no funds were lost, this was a massive embarrassment and caused reputational damage.

Unrelated to that massive security breach and earlier in the year, a user discovered a major bug that allowed him to send the same funds to himself over and over again, ultimately accumulating more than a million dollars in his BlockFi account. BlockFi fortunately caught him just before withdrawal.
Poor Product Execution
Beyond their poor security — which they are now trying to get serious about — their products are notoriously buggy and hard-to-use. I borrowed from them a year ago and used their interest account product until very recently. I have first-hand experience of how painful it is. But don’t take my word for it… here are just a few tweets from customers just recently.

For a while, their interest-earning product had a completely different authentication system than their loan product (users had two sets of usernames/passwords). Many people have had issues with withdrawals. The app is constantly logging people out, blank screens, ugly error messages. Emails with verification codes are sometimes delayed by hours (or days). I do wonder if their entire app has been outsourced. The sloppiness shines through.
Not only is their product buggy and UX confusing, but their branding & design is quite weak. To the left is a t-shirt they once sent me. It looks like they just found a bunch of quirky fonts, added their name, and slapped it on a t-shirt.

Culture
To the innocent bystander, many of these issues seem totally fixable. They could hire an amazing design agency to completely revamp their product or brand. They could hire a mercenary group of engineers to fix their bugs, etc. While it could stop the bleeding for a time, it may not solve the underlying issues. Years of sloppy product execution represents something much more destructive. It represents a top-down mentality that shipping anything other than excellence is okay: product experience doesn’t matter; design doesn’t matter; craftsmanship doesn’t matter; strong execution doesn’t matter; precision doesn’t matter. That’s very different from our culture at Genesis Block.
This cancerous mentality rarely stays contained within product & engineering — this leaks to all parts of the organization. No design agency or consulting firm will fix some of the pernicious values of a company’s soul. These are deeper issues that only leadership can course-correct.
If BlockFi’s sloppiness were due to constant experimentation, iteration, shipping, or some “move fast and break things” hacker culture… like Binance… I would probably cut them more slack. But there is zero evidence of that. “Move fast and break things” is always scary when dealing with financial products. But in BlockFi’s case, when it’s more like “move slow and break things,” they are really playing with fire. Next time a massive security breach occurs, like what happened earlier this year, they may not be so lucky.
Institutional Focus
Based on who is on their team, their poor product execution shouldn’t be a surprise. Their team comes mostly from Wall Street, not the blockchain community (where our roots are). Most of BlockFi’s blockchain/crypto integration is very superficial. They take crypto assets as deposits, but they aren’t leveraging any of the exciting, low-level DeFi protocols like we are.
While their Wall Street heritage isn’t doing them any favors on the product/tech side, it’s served them very well on winning institutional clients. This is perhaps their greatest strength. BlockFi has a strong institutional business. They recently brought on Three Arrows Capital as a strategic investor — a crypto hedge fund who does a lot of borrowing. In that announcement, BlockFi’s founder said that bringing them on “aligns well with our focus on international expansion of our institutional services offering.” They also recently brought someone on who will lead business development in Asia among institutional clients.
BlockFi Wrap Up
There are certainly BlockFi features that overlap with Genesis Block’s offering. It’s possible that they are angling to become the bank of the future. However, they simply have not proven they are capable of designing, building, and launching world-class consumer products. They’ve constantly had issues around security and poor product execution. Their company account and their founder’s account seem to only tweet about Bitcoin. I don’t think they understand, appreciate, or value the power of DeFi. It’s unlikely they’ll be leveraging it any time soon. All of these reasons are why I don’t see them as a serious threat to Genesis Block.
However, because of their strong institutional offering, I hope that Genesis Block will ultimately have a very collaborative and productive partnership with them. Assuming they figure out their security woes, we could park some of our funds with BlockFi (just as we will with Genesis Capital and others). I think what’s likely to happen is that we’ll corner the consumer market and we’ll work closely with BlockFi on the institutional side.
I’ve been hard on BlockFi because I care. I think they have a great opportunity at helping elevate the entire industry in a positive way. But they have a lot of issues they need to work through. I really don’t want to see users lose millions of dollars in a security breach. It could set back the entire industry. But if they do things well… a rising tide lifts all boats.

Honorable Mentions

Celsius (ICO Drops) raised $50M in an ICO, and is led by serial entrepreneur Alex Mashinsky. I’ve met him, he’s a nice guy. Similar to Binance, their biggest Achilles heel could be their own token. There are also a lot of unanswered questions about where their deposits go. They don’t have a record of great transparency. They recently did a public crowdraise which is a little odd given their large ICO as well as their supposed $1B in deposits. Are they running out of money, as some suggest? Unclear. One of their biggest blindspots right now is that Mashinsky does not understand the power of DeFi. He is frequently openly criticizing it.
Nexo (ICO Drops) is another similar service. They are European-based, trying to launch their own card (though they’ve been saying this forever and they still haven’t shipped it), and have a history in the payments/fintech space. Because they haven’t penetrated the US — which is a much harder regulatory nut to crack — they are unlikely to be as competitive as BlockFi. There were also allegations that Nexo was spreading FUD about Chainlink while simultaneously partnering with them. Did Nexo take out a short position and start spreading rumors? Never a dull moment in crypto.
Other players in the lending & borrowing space include Unchained Capital, Cred (ICO Drops), and Salt (ICO Drops).

Wrap Up

While many companies in this category seem to be slowly adding more financial services, I don’t believe any of them are focused on the broader consumer market like we are. To use services like BlockFi, Nexo, or Celsius, users need to be onboarded and educated on how crypto works. At Genesis Block, we don’t believe that’s the winning approach. We think blockchain complexity should be abstracted away from the end-user. We did an entire series about this, Spreading Crypto.
For many of these services, there is additional friction due to ICO tokens that are forcefully integrated into the product (see NEXO token or CEL Token). None of these services have true banking functionality or integration with traditional finance —for example, easy offramp or spending methods like debit cards. None of them are taking DeFi seriously — they are leveraging crypto for only the asset class, not the underlying technology around financial protocols.
So are these companies potential competitors to Genesis Block? For the crypto crowd, yes. For the mass market, no. None of these companies are capable of reaching the billions of people around the world that we hope to reach at Genesis Block.

Governance is a coordination technology that has helped countries and companies build more than the sum of their parts. Blockchains are also a coordination technology, but for computers, not humans***.*** Govern This will track the development of the melding of these two over the coming years.

dxDAO aims to power DeFi protocols through decentralized governance
Gnosis launched a long-awaited DEX last week with batched auctions for low-liquidity trade pairs. The front-end, Mesa.Eth.Link is owned and operated by dxDAO, a decentralized collective that hopes to power other DeFi protocols.
While dYdX does not have any specific governance plans (yet), this tweet from dYdX founder Antonio Juliano is a common approach to governance.

The tweet at the end of 2018 was in response to 0x and its native token, ZRX. The project was popular but the token had no use case outside of governance.
This governance strategy – build now, decentralize later – is widely accepted in the space and is perhaps best exemplified by the A16Z’s Jesse Walden’s post, “Progressive Decentralization: A Playbook for Building Crypto Applications”, which the A16Z-backed Compound has essentially implemented (more in the section below).
dxDAO, on the other hand, maintains that decentralization must come at the beginning or else the core team and investors will have an outsized influence on the project in formal (token voting) or informal ways (dictators for life).
Background
dxDAO was launched in May 2019, spun out of a collaboration between Gnosis and DAOstack over managing the DutchX platform. dxDAO’s key governance design is separating financial rights to the DAO (DXD) from voting power over the DAO (Reputation). It used an Edgeware-style lock drop to distribute reputation to stakeholders in May of last year. Any user could lock up ETH or an accepted ERC-20 for a month and receive Reputation, which are voting rights in dxDAO, even though it is not a token and cannot be transferred.
Over 400 unique Ethereum addresses participated in the distribution scheme. Gnosis went through a pretty extensive process in July 2019 to “step back” from its involvement in the DAO, and since then, the community and dxDAO have aligned behind a mission of “putting the ‘De’ in Decentralized Finance”.
Following on last week’s launch of Mesa.ETH.Link, dxDAO is conducting a fundraiser or (“DAICO”?) to help fund its new slate of DeFi products, including a prediction market platform (Omen) and a privacy-centric DeFi dashboard (Mix).
Project launch is typically when a project is most centralized. Execution is hard and direction and accountability are important. dxDAO’s approach will be an interesting counterexample to the “decentralize later” trend and may provide insight into new governance strategies.

Compound governance goes live, has it found Market-Protocol-Fit?
Since its founding in 2017, Compound has executed with an almost flawless record: no bugs/hacks, a major protocol upgrade and a big name fundraise (twice).
But all of that has been because Compound, the company, has executed well, but can protocol development and the growth of the platform be sustained with community management? We shall see.
Compound’s governance system could not be simpler. Anyone with at least 1% of COMP can submit a proposal of executable code. COMP holders have a 3 day voting period; the proposal passes with a majority of token votes AND a 4% quorum of all COMP tokens.
The 1% minimum for proposal submission is a good anti-Sybil mechanism but it greatly limits participation by small users. There is delegation, so you could imagine a “proposal petition” where you would delegate your COMP to a proposal instead of signing your name.
Compound is clearly taking the “less governance is the best governance” approach. This has worked surprisingly well with Bitcoin and Ethereum, which of course, do not have any formal governance, but those communities clearly have informal governance systems that make decisions.
The biggest governance question for Compound: who is the community?
Market-Protocol-Fit
Other Internet has an intriguing essay on the emergent order from new blockchain tokens and their communities. It is worth a read. It discusses the emergent iteration that blockchains – as a technology and a community – go through to find a niche, both in culture and product.
While it focuses on base-layer blockchains that launch with a token, the essay underscores the most underrated governance element: token distribution. It quotes an insightful tweet from Eric Wall

Before Bitcoin could harden its code and find ‘Digital Gold’ and before Ethereum found ‘DeFi’ and ships ETH2.0, both needed to find a “a strong community of believers” in order to create a “virtuous cycle between headless brands and infrastructural build-out to progressively realize [their] initial promise.”
Communities are connected through a wide spread token distribution, Bitcoin through cypherpunks and online drugs and Ethereum through a global ICO (what Teo Leibowitz called “The Immaculate ICO”).

The biggest “news” has been details about $COMP distribution:
There are no explicit plans yet, but the widely held assumption is that the COMP distribution will be determined by the interest earned and paid by users on the protocol since its inception. This is a clever way that only incentivizes more use of the protocol and is hard to game because interests accrues over time.
But the question still remains, what will the COMP community look like and what values will it espouse? Can emergent cultures arise out of Silicon Valley too?

While Maker had planned to spend Q2 moving forward with their upgraded governance process, most of its focus has been on restoring the Dai peg.

Governance and Risk meeting (April 23)
Single Collateral Dai shutdown – the process has begun. A poll passed with May 12 as the official SCD shutdown. Just yesterday, an executive just passed yesterday to make the MKR oracle fee-less, which will help with migration. Many in the community think the migration of debt from SCD will do more than enough to restore the peg.
13 MIPs and 2 sub proposals – Core to the new Maker governance process is the “Maker Improvement Proposals (MIPs), which are modeled off of BIPs (for Bitcoin) and EIPs (for Ethereum). The two sub-proposals are to appoint the Smart Contracts Team and assign Charles St. Louis as the MIP editor.
The 13 MIPs are listed below:

By and large, the MIPs codify many of the informal Maker governance processes. There is currently a request for comments period (MIP forum) and there will be an informal poll on Monday, April 27 on whether to proceed with the 13 MIPs and 2 sub proposals. If it’s a “Yes”, than an executive for an official ratification vote would start on May 1 and lasts for 4 days. If it passes, the official governance cycle will begin and the rest of the MIPs will likely be approved from May 4 – 6.
